Terms of Service
Effective
These terms are the agreement between you and Coursentials for using Coursentials. If you use it for an organisation, you accept them on that organisation’s behalf and confirm you have authority to do so. If you do not agree, please do not use the service.
1. The service
Coursentials is a platform for creating and delivering learning: narrated courses, reading courses, hands-on labs and practice conversations, with AI features that help draft, design, narrate, illustrate and assess. You can publish what you make through share links, embeds, and standard packages and connections for learning management systems. We may improve, change or retire features over time; where a change materially reduces what a paid plan includes, we will give reasonable notice.
2. Accounts
- You must give accurate details and keep your sign-in credentials secure. You are responsible for activity under your account.
- A workspace owner or administrator controls the workspace, its members and its content.
- You must be old enough to form a binding contract where you live.
- Tell us promptly at hello@coursentials.com if you believe your account has been compromised.
3. Plans, credits and billing
- Paid plans are billed in advance through our payment processor and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
- AI features consume credits, and narration and video consume minutes. Your plan includes an allowance that resets each billing period; unused allowance does not roll over. Credits you buy separately or receive as a trial stay in your wallet until used, unless the offer says otherwise.
- Free plans and trials may be limited, changed or ended. Some features are available only on certain plans.
- Fees exclude taxes unless stated. Except where the law requires otherwise, fees are non-refundable.
- We may change prices for future billing periods with at least 30 days’ notice.
4. Your content
You keep ownership of everything you upload or create in Coursentials, including AI output generated for you (“your content”). You give us a limited licence to host, copy, process, transmit and display your content only as needed to provide and secure the service for you, including sending it to the sub-processors described in our Privacy Policy. We do not use your content to train AI models.
You confirm you have the rights you need to your content — including any third-party material, recordings, and likenesses of real people — and that it does not break the law or anyone’s rights.
5. AI features
- AI output can be wrong, incomplete or similar to content produced for others. Review it before you publish or rely on it, especially for factual, legal, medical, safety or compliance topics.
- Automated scores and feedback on labs and practice conversations support learning; they are not a substitute for professional judgement. Where results have consequences for a learner, enable human review.
- Do not use AI features to generate content that the acceptable-use rules below prohibit, or to imitate a real person without their permission.
6. Your learners
When you deliver a course, you decide who takes it and what data your LMS or launch link sends us. You are responsible for having a lawful basis to process your learners’ data and for giving them any notices the law requires. Our processing of that data on your behalf is governed by our Data Processing Addendum, which forms part of these terms.
7. Acceptable use
You must not use Coursentials to:
- Break the law, infringe intellectual-property or privacy rights, or harass, defame or discriminate against anyone.
- Create or distribute content that sexualises minors, promotes violence or terrorism, or is designed to deceive (including impersonating real people or organisations).
- Upload malware, probe or attack the service, bypass usage limits or security controls, or access other customers’ data.
- Resell or provide the service to third parties as a standalone product without our written agreement.
- Use the service or its output to build a competing AI model, or scrape it at scale.
We may remove content or suspend access that breaks these rules, and will tell you why unless the law or safety prevents it.
8. Beta and preview features
Features labelled beta, preview or early access are offered as-is, may change or be withdrawn, and may be less reliable than generally available features. Feedback you give us may be used to improve the product without obligation to you.
9. Third-party services
If you connect another service — such as an LMS, single sign-on provider or file store — your use of that service is governed by its own terms. We are not responsible for services we do not control.
10. Our intellectual property
We own Coursentials, including its software, templates, players and design. These terms give you the right to use it while your account is in good standing; they do not transfer ownership. Courses you export may include our player software, which you may use only to deliver your courses.
11. Suspension and termination
- You can close your account at any time.
- We may suspend or end your access if you materially break these terms, fail to pay, or create a risk to the service or others. Where reasonable, we will give notice and a chance to fix the problem first.
- After closure you can ask us for an export of your content within 30 days, after which we delete it as described in our Privacy Policy. Published links and connections stop working when an account is closed.
12. Disclaimers
We work to keep Coursentials available and reliable, but it is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise the service will be uninterrupted or error-free.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, and each party’s total liability under these terms is limited to the fees you paid us in the twelve months before the claim (or, for free use, one hundred US dollars). Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will defend and compensate us against third-party claims arising from your content or your breach of the acceptable-use rules, and we will do the same for third-party claims that the service, as we provide it, infringes their intellectual-property rights.
15. Changes to these terms
We may update these terms. We will post the new version here and, for material changes, tell account owners at least 30 days before they take effect. Continuing to use the service after that means you accept the update.
16. Governing law
These terms are governed by the laws of the jurisdiction of the company’s registered office (TO BE CONFIRMED), and disputes will be resolved by the courts of that same jurisdiction (TO BE CONFIRMED), unless the law where you live gives you the right to bring proceedings locally.
17. General
These terms, together with the Privacy Policy, the Data Processing Addendum and any order form, are the whole agreement between us about the service. If any part is unenforceable the rest still applies. Failing to enforce a right is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a reorganisation, merger or sale.
